These Terms of Service ("Terms") govern your use of services provided by PropDefend LLC ("PropDefend," "we," "our," or "us"). By using our services, you agree to these Terms.


1. Services Overview

PropDefend provides managed IT security and support services, including:

  • Cloud Security Management - Security monitoring and management for Google Workspace and Microsoft 365 environments
  • Endpoint Protection - Remote monitoring, management, and security services via the PropDefend Security Agent
  • SMS Security Alerts - Transactional text messages for device verification, security alerts, and IT notifications

2. Service Agreement

PropDefend services are provided to organizations ("Clients") under a managed services agreement. Individual end users receive services through their employer's contract with PropDefend.

Client Responsibilities

Clients agree to:

  • Provide accurate information during onboarding
  • Notify employees that PropDefend services are in use
  • Maintain appropriate authorization for enrolled devices and phone numbers
  • Comply with applicable laws and regulations

3. PropDefend Security Agent

Installation and Authorization

The PropDefend Security Agent should only be installed by authorized personnel or with authorization from your organization's IT administrator. By installing the agent, you confirm you have such authorization.

Data Collection

The agent collects system information necessary to provide IT management and security services, including hardware/software inventory, performance metrics, security status, and event logs. This data is transmitted securely to PropDefend's management platform.

Removal

The agent can be removed through Windows Add/Remove Programs, macOS System Preferences, or by contacting PropDefend support.


4. SMS Messaging Service

Service Description

PropDefend sends transactional SMS messages to employees of client organizations for:

  • Device sign-in verification
  • Security alerts and warnings
  • System maintenance reminders

By enrolling employee phone numbers in PropDefend's SMS service, Clients confirm that:

  • Employees have been notified that they will receive IT security messages
  • Phone numbers provided are accurate and belong to enrolled employees
  • The organization has authority to enroll these phone numbers

Message Frequency

Message frequency varies based on security events. This is not a marketing service—messages are only sent when triggered by specific IT or security events.

Opt-Out

End users may opt out of SMS messages at any time by replying STOP to any message. Opting out may affect the user's ability to verify new device sign-ins. Users can also contact their IT administrator to update preferences.

Carrier Fees

Standard message and data rates from your mobile carrier may apply. PropDefend is not responsible for carrier charges.

Supported Carriers

Our SMS service is supported by all major U.S. carriers, including AT&T, Verizon, T-Mobile, and Sprint, as well as most regional carriers.


5. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity of our services
  • Provide false or misleading information

6. Intellectual Property

All software, documentation, and materials provided by PropDefend remain our property or the property of our licensors. Clients receive a limited, non-exclusive license to use our services during the term of their agreement.


7. Privacy

Our collection and use of information is governed by our Privacy Policy, available at https://propdefend.com/privacy. By using our services, you acknowledge that you have read and understood our Privacy Policy.


8. Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

PropDefend does not guarantee that:

  • Services will be uninterrupted or error-free
  • All security threats will be detected or prevented
  • SMS messages will be delivered instantly or at all (delivery depends on carrier networks)

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPDEFEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the fees paid by your organization to PropDefend in the twelve (12) months preceding the claim.


10. Indemnification

Clients agree to indemnify and hold PropDefend harmless from any claims, damages, or expenses arising from:

  • Violation of these Terms
  • Unauthorized use of our services
  • Inaccurate information provided during enrollment

11. Term and Termination

Term

These Terms remain in effect while you use our services.

Termination

Either party may terminate services according to the terms of the applicable managed services agreement. PropDefend may suspend or terminate services immediately if:

  • You violate these Terms
  • Required to comply with legal requirements
  • Necessary to protect the security of our systems or other users

Effect of Termination

Upon termination, your access to PropDefend services will cease. We will retain data according to our Privacy Policy and applicable legal requirements.


12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to Clients via email or through our service portal. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.


13. Governing Law

These Terms shall be governed by the laws of the State of Utah, without regard to conflict of law principles.


14. Dispute Resolution

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
